The Basics of Maintaining Your Corporation

By Gregory Cartwright While many of our clients have formed corporations, some are not aware of the basic requirements which must be met in order to properly maintain the corporation. This article is intended to point out some of these requirements and is intended for a general audience, applies to corporations organized in California, and does not constitute legal advice. As with all legal matters, you should check with an attorney concerning your particular situation. Employer Identification Number Every corporation filing a state or federal tax or informational return must have an employer identification number (an EIN) An EIN is your company’s “social security number” and it is used by banks and other companies as an identification number. The EIN is usually applied for by the attorney who incorporate the business, the companys accountant or its payroll company. Bank Accounts The corporation must have its own bank account into which all income must be deposited and expenses paid. The checks should be printed with the full corporate name and any trade name it is using. To open this account you usually only need a copy of the Articles of Incorporation and your EIN. Since the passing of the Patriot Act, there are additional regulations which may require the bank to request additional information or documents. If your bank needs something else, such as a Secretarys Certificate or similar document, your attorney can draft this for you. Piercing The Corporate Veil and Alter Ego Liability The corporate structure will generally protect the assets of the shareholders from the liabilities and debts of the corporation. However, this is so, only where the corporation is treated like a separate entity (distinct from its owners) and observes the corporate formalities required by law. If you fail to do so, a creditor may be able to ignore the corporation and pursue the individual shareholders assets in order to satisfy the debts and obligations of the corporation. We call this piercing the corporate veil. When the corporate veil is pierced or disregarded, then the shareholders are saddled with the liability for its debts and obligations. This type of liability is routinely called alter ego liability. In other words, the law will impose liability against the shareholders because there is no separateness between them and the corporation. Obviously, this would be a bad result for the shareholders. In order to avoid these negative consequences, the corporation should keep in mind the following points. 1. Corporate Records It is important that you maintain your corporate records in a professional manner, and in way which complies with the California Corporations Code. Failure to do so is one of the key factors courts will look to when considering whether or not to pierce the corporate veil. Specifically, the corporation is required to hold annual meetings of the shareholders and annual meetings of the Board of Directors. These can be actual meetings with the required quorum, or they can be held on paper. What this means is that a document called a Unanimous Written Consent in Lieu of Meeting is drafted and executed by all persons who are required to be at that meeting. Additionally, any extraordinary transactions must similarly be documented, and would be done so at a Special Meeting of the shareholders or directors (depending upon the specific facts of each transaction). Once these meetings are held the minutes or written consents should be placed into the appropriate place in your corporate book, and maintained there for the life of the corporation. 2. Adequate Capitalization The shareholders must invest in the company an adequate amount of capital for the nature of the companys business. They cannot simply lend the company the money. In the case where the company is not adequately capitalized, a court may permit a creditor to look through the company and hold the owners liable for the companys obligation. Courts have held that inadequately capitalized companies can be considered to be shams. 3. Maintaining Corporate Identity In addition to the issues discussed above, there are a number of steps which you should take to preserve the corporations identity separate from its owners. These include: not using the corporations assets as if they were the assets of the shareholders; executing documents as an officer of the corporation (eg, President or Secretary); placing the corporations income into the corporations account; not commingling the personal assets of the shareholders with the corporations assets; and using the full name of the company, including the designation Inc. The Annual Obligations Clients often ask what needs to be done annually to maintain their corporation. In addition to the annual meeting of shareholders and annual meeting of directors discussed above, a corporation is required to file tax returns with both the State and Federal governments. Also, the Secretary of State will send to you a Statement of Information form which needs to be completed and mailed in. The first such statement is usually filed by the incorporating attorney as part of the incorporation process. Please bear in mind that the foregoing is not an exhaustive list of everything you need to know about a corporations duties. It is intended to answer the questions my clients have most often posed to me. However, by following these guidelines, you will be well on your way to ensuring that the corporation both complies with the law and will withstand an attack by creditors seeking to pierce the corporate veil. Beware - U.S. Supreme Court Opens Floodgates For Employee Retaliation Lawsuits

By Eli Kantor In a unanimous ruling, 9-0 the Supreme Court held that all but “trivial” actions taken against an employee filing a discrimination claim are unlawful retaliation. The Court adopted a broadly worded and employee-friendly definition of the type of retaliation that is prohibited by the basic federal law against discrimination in employment, Title VII of the 1964 Civil Rights Act. Title VII prohibits discrimination and prohibits employers from retaliating against workers who complain about discrimination. But the statute does not define what constitutes retaliation, leading to various different standards among the circuit courts, and uncertainty for employers and employees alike. Under the standard that had been applied by many courts, it had been very difficult for an employee to win a retaliation claim unless the retaliation had resulted in termination. By contrast, the standard adopted by the Supreme Court in Burlington Northern & Santa Fe Railway Company v. White, in an opinion by Justice Stephen Breyer, any “materially adverse” employment action that “might have dissuaded a reasonable worker” from complaining about discrimination will count as prohibited retaliation. Depending upon the context, retaliation might be found in an unfavorable annual evaluation, an unwelcome schedule change or job transfer, or other action well short of termination. As a practical matter, employers can expect to see a huge upsurge in the number of retaliation lawsuits. Taken to its extreme, an employee could complain about discrimination on his first day of employment and then anything that ever happened to him thereafter could be claimed to be retaliation for his initial complaint. Of course, the employee must still prove that there was some connection between his complaint and the retaliation, and the more time that has passed the more difficult it will be for him to prove. As a consequence of this decision, employers must redouble their efforts to prevent harassment in the workplace in all forms, sexual, racial etc. They must provide harassment prevention training to their supervisors, and most importantly in the light of the Burlington case, they must investigate all harassment claims promptly and thoroughly, and, if a violation is found, take prompt and effective remedial action. Significantly, they must emphasize to all supervisors that there can be no retaliation taken against the complaining employee whatsoever, because even if the underlying complaint turns out to have not merit, the employee can still bring a retaliation claim. Sweets After Weight Loss Sugery: Smart Choices

By Kaye Bailey Sweets are a real problem for people who have undergone gastric bypass or lap-band weight loss surgery. Patients report feelings of loss for sweets and strong cravings. Yet patients know sweets pose several problems after weight loss surgery including dumping syndrome and weight gain. Patients who indulge in sweets not only get physically ill they also suffer feelings of failure and self-loathing for lack of will power. According to Dr. David Katz in his book The Way to Eat a sweet tooth is not a matter of will power it is a matter of genetics. Early humans found sugar was a quick source of energy when they consumed it in the form of fruit, honey and sugar cane. So the tendency to like sweet is in our genetic code. But the difference today from then: sugar is now highly processed and in abundant supply. Dieters consider sugar evil and blame sweets for weight gain. According to Dr. Katz “Sugary foods are often high-fat, calorie-dense foods as well; the pleasant taste of sugar stimulates high intake while the fat does much of the damage in terms of calories, weight gain and adverse health affects.” I like that Dr. Katz’s attributes our genetic code for the sweet tooth - in my pre-WLS dieting life I considered myself a weak failure for having a sweet tooth. Unfortunately, my bariatric surgeon didn’t fix my genetic code for sweets. But what did happen during the early post-op and the weight loss phases is my interest in sweets waned. I believe once I was off the carb-fat-sugar roller coaster my body adapted to the more nutritional diet without processed sweets. Limit Sugar For Health:General health guidelines indicate we should limit sugar intake, particularly processed sugar. Dr. Katz advises “Make some general commitment about the acceptable place of sweet foods in your diet.” He adds, “Such a commitment is only as good as your follow-through, of course. But making decisions about tempting foods at a time other than when you are tempted is a good strategy in general.” For WLS people with gastric bypass that commitment is firm - most patients will get sick (dumping) if they consume sugary products. Lap-band patients don’t live with that fear, they need some personal resolve to limit or avoid sugar products. For all of us the desire to maintain our weight loss should be a good motivator. Sugar Substitutes:So far we have two facts: 1- We are genetically coded to desire sweets and 2- We need to limit sugar intake for our health. Could two facts be more contradictory? A variety of artificial sweeteners are available from the sugar alcohols (Sorbitol, Xylitol and Mannitol) that cause gas and bloating problems to the non-nutritive sweeteners such as Saccharine, Aspartame and Sucralose (Splenda). Dr. Andrew Weil, author of “The Healthy Kitchen” is concerned about the use of artificial sweeteners. In his book he says, “In the first place, there is no evidence that they help anyone lose weight, although that is why people use themSecond, most of them taste funny. And, most important, the highly popular ones may be harmful.” He sites studies that link Saccharin and Aspartamine to health problems. Dr. Weil recommends sucralose, sold under the band name Splenda. He said, “It tastes better than aspartame and appears safer.” Splenda, Sugar and WLS Diet:In general nutritionists working with WLS patients agree Splenda is an acceptable sweetener for patients when used in moderation. (Moderation - that word comes up a lot in our WLS food discussions!) Many recipes can be adjusted to use all Splenda or a blend of Splenda and sugar. Using a blend of sugar and Splenda produces the best results for texture and moistness yet cuts half of the calories and carbohydrates. Using all Splenda eliminates all sugar calories, however, some consumers say using all Splenda results in an unpleasant after taste and unappealing texture. Using all sugar is not an acceptable option for WLS patients for reasons already noted. Knowledge, Moderation, OccasionUltimately, the key to including sweets in the WLS lifestyle is knowledge, moderation and occasion. Know what is in the sweet product you are eating. Find sweets recipes that contain other nutritionally beneficial ingredients while eliminating or at least decreasing the sugar and fat. Moderation: a small serving is fine. Scientific studies indicate a craving can be satiated with a modest portion eaten slowly and savored. I have found my occasional chocolate craving can be satiated with one Andes’ thin mint - think about it! One mint - 26 calories and 2.6 grams of sugar, 1.6 grams of fat. Plan your occasions when you know you will indulge and then indulge wisely. Know the kind of sweetener used in your treat, know your serving size and know you will stop when that serving is consumed. At first it isn’t easy but with diligence planned occasional treats can be included in your WLS lifestyle. Love your new diet:Finally, rather than focusing on all the beloved lost foods spend time enjoying and loving your new way of eating. By Rion Williams The blatant social or ‘commercial’ sexploitation of women and the negative sexual transmutation of men is reaching a breaking point. This extra awareness and energy has to go SOMEWHERE. Guess where it goes? Out of your wallet. It’s getting dangerous. Fortunately most good men don’t turn to outlets like rape but they transmute all of that diluted and aware energy into profitable (for others) outlets such as video games, mens’ mags, fitness, self-improvement, career advancement, material gain and more only to find that doesn’t resolve their situation either. They still want to ’screw’ every hot woman in sight because they’ve become so ‘aware’ of the attributes of sexploitation. After all they have become the conditioned response and the reality around them reinforces this relational belief. They’re so connected to it emotionally. They’ve given it so much ‘added value’ for the screen time it’s given. If it wasn’t always ‘in their face’ and literally provoking them, exploiting their one ‘weakness’ they’d be comfortable, sane men like they were supposed to be and used to be. The saturation point is even affecting preacher’s and clergymen across the country. T&A is blatantly and subtly being waved in front of our faces and people can’t see what’s really going on. They see T&A everywhere and they are now responding to it unconsciously. They have been conditioned to be intimidated and afraid of a woman’s body and sexual power whether she’s been on the cover of a magazine or not. They’ve glorified this concept of sexuality so much that they’ve become like Jim in American Pie around all of the women they communicate with. Bad news for other dating guru’s but nothing they do or say is going to change the fact that they have the wrong relationship with women in the very first place. Why is it like this? Why do millions of men not know how to deal with women anymore? Because the ‘Architect’s’ were successful in their plan all along. They influenced the behavior of men while dividing the sexes. Massively profitable industries abound off of the new discontent and fantasy divergence of the sexes. To uphold the social pressure/standard, women seek more fashion, more make-up, more man-repelling advice on how to be more out of his world. They also seek pent-up natural/emotional outlets such as romance novels (why do you think this industry is so big?), romantic comedies and ice cream with their small dog. Separately, men seek all kinds of outlets to transmute the exploited sexual energy that they’re so desirous of yet always seems out of reach. Look at ‘Tag’ body spray. Look at beer commercials and men’s magazines. All of it further duping people into the fantasy instead of reality. All of it is actually conditioning them to BUY more instead of being effective in dating and relationships. And when they do connect men are taught to do things such as buying her flowers, expensive gifts and expensive dinners. Not only is that not effective (trading money for her time) but all kinds of other people in society get to profit off of the business created. All kinds of money is blown to no extent. What happened to just connecting with people naturally, being interdependent, not spending money on dates and instead focusing on each other? Wow. That wouldn’t be very profitable for the people sending out all of the programming that builds up these dual fantasy worlds keeping men and women apart while not knowing how to behave around each other. It’s up to men to understand this mass commercialism, the types of messages they’re sending and most importantly the causal influence that the wrong relationship (sponge conditioned response) with it has done. The commercial sexploitation is going to reach a breaking point when enough men and women realize what is really going on. Actually that is more up to the men. They are in a position to take their power back while women will continue to wait until there is a stimuli that makes it safe for them to change their behavior publicly again…back to one of more flirtatiousness instead of sexier ‘better-than-thou’ prickteasing. Men like me who can create this safe natural reality around women are men who massively attract women because they know it’s ok to be themselves again, to escape from the massive social pressures and to experience happiness, emotion and attraction again. The Covenant: God’s Relationship to Jews, Israelites, and Gentiles

By David Ben-Ariel Art Braidic (a minister of the Sabbath keeping Church of God) and I have enjoyed a biblical discussion about whether or not God’s covenant with Judah is still active. I trust others may glean something profitable from our fellowship. I start with his intial response and add my comments: My conclusion is that God brought the Jews back to fulfill prophecy, not to re-establish them as a nation permanently. Thank you, Art, for prayerfully considering all this about Judah’s return under Ezra and Nehemiah and taking the time to respond. May God bless our fellowship and inspire us all to a better understanding of this holy subject. Such discussions prove true that “iron sharpens iron.” God did indeed bring Judah back (but not all were willing to return just like today) to fulfill prophecy, but I must question if that was the only reason why did God not only send a scion of David (Zerubbabel), and a governor (Nehemiah), but a PRIEST to instruct the People in the Torah? Ezra had his Work cut out for him and did a marvelous job (Ezra 7:10). His NATIONAL CONGREGATION repented of their Sabbath breaking (Nehemiah 13:17-22) and mixed marriages and entered into a COVENANT WITH GOD. We have no record of the Gentilized Israelites ever repenting, even in part, or returning and submitting to any biblical instruction (Ezra 10:1-3). Judah had sinned worse than Israel originally, but THEY REPENTED and were brought back. Israel never repented and was never brought back. Some of Judah remained repentant from THE RETURN to the time of Yeshua, the New Testament bearing them record: The priestly parents of John the Baptist (Luke 1:6), Simon and Anna - two holy and elderly witnesses and the Torah-observant Yosef and Miriam (Luke 2:25, 36-39). And Yeshua said of the Gentiles and testified about the Jews: John 4:2222 You worship what you do not know; we know what we worship, for salvation is of the Jews. He couldn’t say that about the Gentilized Israelites who had lost it all! The Old Testament was to have seven eras. I know the Church of God teaches this and I have shared it with others, but the Church of God isn’t consistent when they reject the God-given authority of the scribes and the Pharisees that Christ acknowledged on the matters of the sacred calendar and responsibility to properly proclaim the holy days. Christ was to come from Judah. All this was fulfilledand then, God destroyed the nation and scattered them exactly like He did their sister Israel. God had already destroyed the former Judah and Jerusalem and scattered the Jews, but many of them repented and returned (part of true national repentance is to return to the Land, not just the Law). Those faithful Jews, the parents of John, the parents of Yeshua, Simon, Anna, and others like them remained faithful and accepted the Light that God had sent Judah and when the others rejected Him they were rejected. But the physical and spiritual foundation of converted Jews continued without fail! The early Church of God was entirely Jewish, as you know. That Jewish/biblical foundation was most instrumental in the construction of the spiritual Temple that includes Gentile converts into that holy Branch. Most of Judah were temporarily cut off, just like the Gentilized Israelites, but SOME of them never were and continued right on as pioneers of faith towards the “New Jerusalem!” Antiocus went through the land devastating it it and putting the abomination in the temple. I submit that if these people were God’s people, in a covenant with them, then they would have not suffered so. Isn’t that a gospel of peace and prosperity? Don’t true believers suffer persecution? If God wasn’t in covenant with Judah, why did Yeshua call the defiled and CLEANSED Temple “My Father’s House?” God sent Judah - still His covenant people at that point - the Macabbees as in the days of the Judges, just as the Church also teaches that Daniel prophesied of them as the “people who know their God and do (military) exploits,” and they formed part of the seven eras of the Old Testament. Another traditional inconsistency! To me, after Christ’s death, any relationship was completley over. Yes, I agree that after the unwarranted hatred Yeshua experienced at the hands of His brethren, like our father Joseph did earlier as a type, the Anointed One who came to purify Judah’s religion and correct their misunderstandings and rebuke idolatrous traditions (which is why He spent so much time with the God-ordained Pharisees). He warned Judah of the Temple’s imminent destruction and their dispersion and they rejected Him and His warning message and many of them paid for it with their lives, God was through - for the most part - with collective Judah. However, as stated above, God kept His Word to be the God of our fathers and our God to a remnant, folks like the righteous I’ve mentioned whose kind made up the early Church. As Paul writes… Wherefore, my brethren, ye also are become dead to the law by the body of Christ; that ye should be married to another, even to him who is raised from the dead, that we should bring forth fruit unto God. I do know your point, but to be technical, it’s speaking of US being dead to sin (and its penalty) and resurrected in Christ, able to now marry Righteousness - it doesn’t state that about Christ. So, in the marriage to Israel, God was married to Judah. Once He died, He was able to remarry. He now is espoused to those He has called, and He will marry them at His return. I know and have also shared this Church of God teaching, but the Scriptures reveal God saying to physical Israelites in these last days, God pleading with us to return to Him as our Husband, that He never divorced us! Judah and Israel are still married to God even if we’ve broken our part of the covenant relationship and God has “SEPARATED” us from Him due to our unrepentant sins. But He wants us back! (Isaiah 50:1, Jeremiah 3:14). The Church of God, like the Prophets, ought to call our people back to the Law and the Covenant that God made with our Fathers Abraham, Isaac and Jacob (and confirmed with our fathers at Mount Sinai) and wants to RENEW with us and improve upon it by writing His Torah upon the tablets of our converted hearts and minds, so help us God! I actually do not know what replacement theology is. It is denying the spiritual importance of physical Israel to God forever, regardless of our present sins that will soon be history. Not as though the word of God hath taken none effect. For they are not all Israel, which are of Israel, Neither, because they are the seed of Abraham, are they all children: but, In Isaac shall thy seed be called. That is, They which are the children of the flesh, these are not the children of God: but the children of the promise are counted for the seed. All this is saying is that race alone isn’t sufficient. That a physical Israelite must also have a spiritual Israelite identity or they’re nothing more than physically circumcised spiritual Gentiles! And that physical Gentiles can be spiritual Israelites and join the Body of converted Israelite believers: the remnant of physical Israel who isn’t blinded! Rom 11:1 I say then, Hath God cast away his people? God forbid. Replacement theology would say it doesn’t matter because spiritual Israel has replaced any need for physical Israelites to be in a covenant relationship with God and such a damnable heresy is dead wrong! Paul then stresses his PHYSICAL TRIBAL IDENTITY - he didn’t dismiss it as unimportant. God must always have at least a chosen few physical Israelites to keep His Promise to our Fathers to be their God and the God of their literal descendants. But what saith the answer of God unto him? I have reserved to myself seven thousand men, who have not bowed the knee to the image of Baal. Even so then at this present time also there is a remnant according to the election of grace. So, there is a remnant according to grace, not race. Who is that remnant comprised of? Not so! The very example Paul used were ALL ISRAELITE. Why speak of a remnant except to refer to the relatively chosen few ISRAELITES who have not gone astray or been blinded? The remnant pertains to physical Israelites who are converted Israelites! What then? Israel hath not obtained that which he seeketh for; but the election hath obtained it, and the rest were blinded The election or remnant of physical ISRAELITES! Just like the vast majority of Jews rejected Jesus but a remnant of physical Jews remained faithful and formed the foundational Church of God in Jerusalem! Rom 11:16 For if the firstfruit be holy, the lump is also holy: and if the root be holy, so are the branches. And if some of the branches be broken off, and thou, being a wild olive tree, wert graffed in among them, and with them partakest of the root and fatness of the olive tree While not the firstfruits, they are still holy because they are God’s people. It is converted physical Israelites who are the firstfruits, converted physical Israelites who are the roots, a converted physical Israelite olive tree that converted Gentiles can be grafted into! We are the Israelite Church of God, as Herbert W. Armstrong taught, and it is counterfeit Christianity that is a Gentile Church that seeks to replace physical Israelites in every way, physically and spiritually. For I would not, brethren, that ye should be ignorant of this mystery, lest ye should be wise in your own conceits; that blindness in part is happened to Israel, until the fulness of the Gentiles be come in. Blindness IN PART, a partial blindness among Jews and Israelites. I really don’t understand why God had to blind any of our people, maybe you know? Why couldn’t He just work with Gentiles and Israelites at the same time like He does in the Church? Ancient Israel always accepted Gentile converts and they weren’t at the expense of any Israelites. I really don’t understand this part of the mystery and pray to grasp it better! And so all Israel shall be saved: as it is written, There shall come out of Sion the Deliverer, and shall turn away ungodliness from Jacob: For this is my covenant unto them, when I shall take away their sins. Back to physical Israel, showing their physical descent from Jacob-Israel remains important to God despite “spiritual Israel.” Again, it’s because of the covenant that God made with our Fathers. That’s why the “Time of Jacob’s Trouble” will be cut short - mainly for the ethnic election, the physical Israelites’ sakes! not the spiritual Church of God alone. Matthew 24:22 22 And unless those days were shortened, no flesh would be saved; but for the elect’s sake those days will be shortened. Isaiah 1:9 9 Unless the LORD of hosts Had left to us a very small remnant, We would have become like Sodom, We would have been made like Gomorrah. Leviticus 26:44-45 44 Yet for all that, when they are in the land of their enemies, I will not cast them away, nor shall I abhor them, to utterly destroy them and break My covenant with them; for I am the LORD their God. 45 But for their sake I will remember the covenant of their ancestors, whom I brought out of the land of Egypt in the sight of the nations, that I might be their God: I am the LORD.’” This GOOD NEWS is why the first chapter of Beyond Babylon: Europe’s Rise and Fall is gladly called “Survival Guaranteed!” Rom 11:28 As concerning the gospel, they are enemies for your sakes: but as touching the election, they are beloved for the fathers’ sakes. I agree that the vast majority of Joes and Jews are presently blinded, but I believe there are individuals with whom God is working, His Holy Spirit is WITH THEM (not yet in them, like with His disciples originally), as part of the process of national redemption, laying the groundwork, preparing the way, for when God chooses to call us all again into a COVENANT RELATIONSHIP with Him, like Gershon Salomon of the Temple Mount Faithful and other faithful Jews, exceptions, just like Simon and Anna. Even as Herbert W. Armstrong taught the children of Worldwide Church of God members are SANCTIFIED (I Corinthians 7:14), so too are the children of Abraham, Isaac and Jacob (Ezra 9:2). I believe this revelation needs to be better understood and taught in the congregations. I love the Jewish people. I find them among the most bright, professional, and talented people in the world.
