Franchise Agreements and Refusal to Renew

By Lance Winslow When the franchisor signs a franchise agreement with a franchisee it is very much like the marriage only it has a specific infinite time period called a term. Upon the end of the franchise agreement period a franchisor and a franchisee may agree to continue their marriage and renew the franchise agreement or one or more parties may decide to go their separate ways. A franchisor may have good reason for not wishing to renew the franchise and franchise law predicts that without a good reason failure to renew could in fact create litigation. However, if a franchisor states all possible reasons in advance that they were may not renew the franchise agreement with a franchisee in the initial franchise agreement, then the chances of litigation are lessened. Below is a copy of a clause that I used in both our master franchise agreements, as well as our individual franchisee agreements, which stated that conditions in which our company may choose not to renew; 1.3.3 Refusal to Renew Notwithstanding the foregoing provisions, Franchisor will not be obligated to renew Franchisees rights to operate as a Franchisee of Franchisor if Franchisee has failed to satisfactorily comply with Franchisees duties, obligations and covenants during the preceding term or is then in default of any provisions of this Agreement. Learn A Few Tricks Of The Coffee Trade

By Don McKay For those of you who hate coffee for reasons I cant possibly understand there here is something you may like. My wife on occasion makes home crafts and the thing she makes that I like the most are her coffee scents. This is so simple yet very appealing, and the cost is under $20.00. Here is what she does. She takes a large glass bowl and fills it with whole coffee beans. This part is up to you. My personal favorite is the Sumatran Dark Roast, but my wife likes vanilla flavored coffee instead. She then gets a vanilla scented candle and lights the candle and places it in the middle of the bowl full of beans. When the candle wax hits the coffee beans the room starts to smell like Vanilla Coffee. It is a relaxing smell that lingers for hours, and our guests love it. My wife even sends them as gifts, and our family and friends really do love it. A Coffee Can Grill Lets say you have kids and you are going camping. Did you know that your used coffee cans could be used as a grill? Yes! A coffee can grill! Let me explain. The first thing you do is take an empty coffee can and wash it inside and out. Then dry it completely. Take a can opener that you would use to open a can of juice, and start punching triangle holes every 1 inches to allow for venting. Take the plastic lid and place it over the side you just punched to prevent it from getting dirty. Pack a candle (unscented) about 3 inches wide by 5 inches tall. This is a cool project for the kids. When you set up your campsite and are ready to eat light the candle and remove the plastic lid from the coffee can. Then place the can over the candle and let it sit for about 7 minutes. Place a ground beef patty, or hamburger patty on top and cook it the way you like it, and Presto! You have just used your disposable coffee can grill. My kids love it! An Under The Hood Blower If you have teenage boys that are ready to drive then listen to this cool trick I did when I was 17 years old. I took a large Folgers coffee can and using a hole punch I punched a hole in the center of the can. I then emptied the coffee in the trash, because I cant stand Folgers coffee. Then I went to the junkyard and found a fan motor with fan blades attached for a Chevy S-10 pick-up. Most of the fan motors for GM are the same, but the Chevy S-10 was what I used. I then made holes in the can for the screws that hold it in place, and the fan blades in the center. After cutting out the center with a pair of tin snips I placed the fan motor inside the can. I then took the can to my car and looked for a place on the firewall to mount it. After mounting it using a modified u-bolt made from threaded rod heated and bent I began to measure the distance from the can to my air intake. I drilled two holes in the can one at the top on the side and one in the bottom. I used silicone and a 2 PVC elbows was its size and found hoses that I ran from the can to my intake and the other I secured to the side of the firewall leaving it connected to the can only. I ran my power source to the fuse box and ran a toggle switch to the fan motor. This was a fun project, because it challenged me every step of the way. I attached this unit to my 1973 Pontiac Lemans GTO. It had a 400 big block with Headman Headers and a Crain Fireball 2 race cam. Did I mention the 4 speed standard transmission? When I was in 4th gear I was doing about 60 mph then I flipped the toggle switch and floored it. My tires chirped and I went back in my seat. My speedometer on the car went to 120 mph. I promise you it was buried past that. I was at an old abandoned airport runway when I tried this, and I recommend not racing in any public place. It is illegal and you can hurt or even kill people. A fast automobile can be a dangerous thing. Use common sense before testing this on your car. I have to warn you if your block is made of cast aluminum you could over heat and blow a rod. My friend did this to a Ford Escort GT 1989. The head was badly warped and the bearings were fried. Coffee cans are very useful. I have used them for storage of nuts and bolts, or any other hardware items I may have. My kids store pencils and crayons in them. Many people store childhood memories in them kind of like a time capsule. This vegan organization has one colossal ax to grind with their archrival, Darth Atkins. This is an old score that theyve unfairly flung in front of the public before, all in the effort to squash the low carb idea and its adherents. The first time was when Robert Atkins suffered his fatal accident, a cranial blow that caused edema when water accumulates within the tissues. This tragic condition, obviously, caused his body to fill with fluid and thus, his overall weight to rise. The so-called Responsible Physicians seized on this dying mans condition by calling Atkins obese which he was not and telling everyone who would listen that his diet killed him which it did not. And third, he reasoned, of the 40,000 factors that affect weight and health the Atkins approach must have been the very one to have done it to him. Of course, Im no low carb acolyte, and do anxiously encourage the lemmings to rebound back from the intoxication with this high protein approach. But you still have to be fair, or you lose integrity, credibility, and confuse everyone in the process. Thats why the Responsible vegans need to go sit in time out, before heading off to their anger management therapy. But from our perspective, their messy food fight is about more than one group flinging their high carb carob at Atkins sausage-n-cheese omelet. Its about hearing an off-key chorus of competing messages from different camps of experts. In the midst of all this confusion, dietary decisions get left in the hands of you and me. We could pick the Krispy Kreme diet if we wanted, or low fat, or low carb, and find some scientific validation for any of it. So whats the sane middle ground? What lies between low fat and low carb? And most importantly, what rational guidance are we supposed to draw upon when planning dinner or a grocery store trip? The best solution is to step back out of the niggling experts and think more intuitively about a healthy lifestyle approach. Dieting 101: Week 1: Being Flexibile is Key

By Kathryn Martyn, M.NLP Losing Weight Requires Flexibility Why is it that when you decide to get in better shape or lose a few pounds, life suddenly throws you a curve? I decided to “get back in shape” and had a planning session about what I might change, how I might do it, and whether I believed I could do it (would I follow through or was I kidding myself?). My plan is a regular workout schedule (four days a week at home), drinking less wine (special occasions and weekends instead of regularly), and tightening up “weekend eating” from my current Thursday evening through Sunday to just Saturday and Sunday. Monday: All is well, worked out and ate as planned. Good day. Tuesday: Worked out and ate as planned. Good day No. 2, this is easy. Tuesday evening sister No. 1 invites me over Thursday evening, “I’ll have something there to eat,” she adds. I’m about to say, “That’s okay, I won’t want anything anyway,” but thought better of it. Telling someone you don’t want what they’re serving because you’re trying to get healthy is a surefire way to be attacked with a full-frontal assault on why that is ridiculous and, “Just this once won’t hurt.” Who needs it? Wednesday: Ate fine and worked out according to plan. Very good, hump day and all. Wednesday evening sister No. 2 calls saying we’re celebrating family birthdays with a Friday night dinner out. Nobody requested traditional birthday cake (I’m the family birthday cake maker) so I’m bringing a blackberry cheesecake, while mom is bringing blackberry pie. Wednesday evening I’m taking stock of the rest of this week and it’s not pretty: The Thursday evening workout won’t happen because I need to be baking and said I’d go to sister’s thing (evening workouts are often waylaid); Friday evening is also shot due to birthday dinner at restaurant. To top it off Easter is this Sunday so most of Saturday I’ll be shopping and baking. I already decided I want to make the “Almost Better Than Sex Cake” and scalloped potatoes. This is turning out to be a lousy week for my new getting in shape plan. But, all is not lost. This is a typical week in a typical life. You must be flexible if you expect to lose weight and keep it off. You’re always going to be confronted with the unexpected occasions, birthdays, parties, special events where they have that yummy goody you just can’t resist. Thursday, ate well. Didn’t eat at my sister’s Thursday event (nothing out of the ordinary was served). Too busy with baking to do my exercise routine (I knew this would be the case so I’m not upset about it). Since evening workouts are so often missed I’m already trying to figure out how to get them done earlier in the day. Friday: Ate great, dinner was wonderful. Had a “splurge” glass of wine with dinner at the restaurant (tasted pretty darn good too, but didn’t leave me wanting another). Ate plenty but not until over-stuffed; I knew we had birthday desserts coming after all. Enjoyed a piece of blackberry pie and cheesecake and it was great. I’m right on target. Saturday: Ate well, did my exercise as planned. Shopped for groceries for Easter dinner and suddenly decided to make homemade peanut butter cup easter eggs; how’s that for a healthy eating plan? Now I’m a candy maker! I enjoy candy, so sue me. Easter Sunday: Big family dinner, potluck style. Nothing is better than good homemade food, especially when you’re learning to eat better and make better choices. I ate what I wanted and felt great, satisfied, content. You can take a bit small amount, eat it slowly, taste it, check out the texture, and really make an effort to enjoy the buffet style dinner. There’s no need to stuff yourself. It’s not the last time I’ll ever eat. Easter eggs turned out great. I left plenty behind and took the rest to my office on Monday. I love to bake for special events as I get to eat the goodies but I ditch the leftovers. A piece or two of cake every so often is not a problem, but half a cake on the counter, or sweets and desserts every day for a week is a recipe for the beginning of poor eating habits. I use my 3-Day Rule (more on this next month). Sunday evening (remember I had the big Easter dinner earlier) I started feeling somewhat hungry, but it was late, so I ate the leftover desserts I’d brought home for my dinner. Cake for Breakfast, that’s my motto; this time it was “eat dessert first,” as grandpa used to say. You make a choice, sometimes you’ll overeat, and sometimes you won’t and it’s okay. The trick whether losing weight or maintaining weight loss is to change the equation from overeating and indulging often to eating well most of the time and indulging infrequently. A look back at Week 1:Lots of sweets, plenty to eat. I stuck to my overall plan for the week. I drank far less (from a couple glasses of wine a night down to just a couple for the entire week). By Amun Ra IN Article 3 i am going to tell you how to get to the point where you actually feel good about yourself and how to make the weight losing program self perpetuating and easy. I will set out 5 simple tips to follow to get you on your way to shedding that excess baggage: TIP 1: Set small, realistic goals. If you have a lot of weight to lose, try for 1 pound at a time, get a good weighing scales that can accurately gauge minute changes in your weight - these will improve your self esteem too and as we know if you look after the pennies, the pounds will look after themselves. TIP 2: Start a regular exercise program like those i have at the end of the article and stick with it. Do your exercises somewhere that you are not embarrassed to be yourself, if you do not do this, you are guaranteed to throw in the towel, maybe start off in your own home and then as you progress through your program, move outdoors and show off your new look, more self esteem points! TIP 3: Sneak in extra exercises in addition to your regular program. Go above and beyond the bar set out by the program, even one extra repetition of a given exercise will show through. TIP 4: Eat low-fat, high-fibre foods such as salads, vegetable & pastas. If possible take a cookery class in conjunction with your weight loss program. You will learn ways to cook and eat healthier foods & lets face it, nobody likes eating the afforementioned foods all the time, so maybe you will find ways to spice them up a bit. TIP 5: This is possibly the most important tip. Treat yourself every now and again to whatever it is you are missing the most, whether it be a pizza, full fat ice cream or the Mississippi mud pie. If you are always on the defensive with the food you like eating, it WILL eventually break you and before you know it, you’ve got your head stuck in the fridge devouring all its contents. These things do happen, the human brain is very good at tricking its owner into submission, even if the craving is for something that is bad for your health, ask any smoker!! All it takes is something to trigger it. A word of warning with this tip. DO NOT treat this tip nonchalantly, ensure that you treat yourself with small portions and at a regular, timed intervals, say, once every two weeks or so.
